Disputes arising from the use of this Website shall be exclusively subject to the jurisdiction of any federal or state court for the State and County of New York.

OTHER TERMS

MAC is free to modify, suspend, withdraw, temporarily or permanently, the Terms and Conditions at any time and in its sole discretion, and shall have no liability for such action, and you agree to be bound by any revision to the Terms and Conditions effected thereby. You agree to indemnify, defend and hold harmless MAC, its subsidiaries, affiliates, officers, employees and agents from any and all claims, losses, demands, damages and costs resulting from any violation of the Terms and Conditions by you or your access to the Site. FRAUD ALERT

Marubeni America Corporation has learned of illegal and fraudulent e-mail solicitations involving the unauthorized use of the Marubeni corporate identity, specifically the unauthorized use of the "Marubeni" name as that name is used in its corporate name and in the names of affiliated companies, in attempts to conduct transactions designed to defraud businesses and members of the general public.

Below we describe certain fraudulent schemes of which we have become aware. Others may exist. This is not a comprehensive or exclusive listing.

Fraudulent offers

In February 2016, Marubeni Corporation became aware of fraudulent offers for the representatives in the United States or Canada, or for the assistance to collect bad debts. Those offers are fraudulent and are unassociated with Marubeni Corporation, Marubeni America Corporation or any of the companies in the Marubeni Group.

Investment opportunity based on forged guarantee

In April 2015, Marubeni America Corporation became aware of a fraudulent scheme to solicit investments for the development and operation of a shrimp farm in the United States that was described as relying on financial support in the form of guarantee purportedly issued by "Marubeni Corporation" for the purchase of product from the shrimp farming operation. That guarantee is a false and forged document and that investment scheme is fraudulent and is unassociated with Marubeni Corporation, Marubeni America Corporation or any of the companies in the Marubeni Group.

Employment solicitations for payment services

We have become aware that in some cases individuals have been subject to an unauthorized employment solicitation by unknown parties to act as payment coordinators for Marubeni companies. These solicitations may seek to engage or employ an individual or business to provide assistance in clearing foreign checks or payment orders on behalf of "Marubeni Corporation" and/or "Marubeni Europe" with promises of financial gain to the person who agrees to provide such assistance.

Assistance in processing foreign payments

A variant of the employment solicitation scheme is a solicitation based the unfounded request for assistance to process and clear foreign checks or payment orders on behalf of a Marubeni company that would entitle the participant to some form of compensation.

These solicitations are unauthorized and fraudulent and have no connection to the above named Marubeni Group entities, Marubeni Corporation or any of its affiliates.

Persons or businesses contacted in the manner described above should be aware that these are fraudulent and false communications and should take every precaution to avoid involvement or entrapment with the perpetrators of these communications.
